SERVICES TO SELLERS:

The sale of a business is among the most important decisions to be made by an executive or owner. A miscalculation may distract management focus for months and could significantly affect operations. Our staff will help minimize these risks. We will not hesitate to recommend the postponement of the process should market conditions be unfavorable.

Valuation: We will determine a price that we believe can be secured in a negotiated sale. Our process includes a thorough study of the business, its operation, markets and competition.

Identification of Prospective Buyers: Achieving a premium price for the business entails an ability to find that right buyer who will not only recognize the company's intrinsic worth, but also the strategic value the business provides. CoView's staff has considerable international experience and will identify the logical prospective buyers, whether domestic or foreign.

Preparation of Descriptive Memorandum - A potential buyer will require a thorough description of a business in order to properly determine their level of interest. CoView will prepare an effective selling document, which will provide sufficient information to prospective buyers to allow them to make a fair appraisal of the company. By providing the right information to a prospective buyer and screening candidates carefully, we preclude the distraction of management time on ultimately uninterested parties.

Sale Negotiations - Our staff will manage the sale process through the closing of a transaction. We take an active role in discussions and meetings with prospective purchasers. By introducing at least two parties to the final negotiations stage, we maintain the ability to complete a transaction without being held hostage to one offer. When an offer is made, we advise our client as to its value and will assist in structuring counterproposals as required. Our experience and knowledge of the process will help a company avoid many of the problems which inevitably arise before and after the signing of a letter of intent.

Closing - We work closely with the accountants and attorneys to the transaction to ensure that the final contract accurately reflects the verbal terms and understandings. Our ability to anticipate problems and bridge communication gaps will ensure that momentum is maintained through the final signing.

CoView's buy side services include:

Establishing Criteria - When engaged to identify acquisition candidates, CoView will assist in developing those characteristics which distinguish promising targets. We work closely with our clients to develop criteria supportive of their strategic and business objectives.

Identifying Prospects - Using extensive banking and industry contacts and our proprietary database of public and private companies, we will identify and discretely determine the potential availability of candidates which have satisfied our client's defined criteria.

Making the Contact - Choosing the right person to approach at a targeted company requires research and good contacts. Attention is given to selecting the individual who would be most receptive to a meeting. As business owners are often more interested in selling their business if there are compelling synergies, we study potential benefits to the seller in advance of making contact. Confidential introductions are arranged at the appropriate time.

Valuation - It is difficult for negotiations to succeed if either side has unrealistic expectations regarding price or terms. As CoView is regularly retained to value businesses, we have the experience to provide an in-depth valuation of the targeted company.

Due Diligence - CoView assists our clients in the due diligence process by identifying potential pitfalls, by developing projections under varying economic scenarios, and by assessing the overall corporate fit.

Structuring the Offer - A transaction must be structured in a way that meets the needs and objectives of both the buyer and the seller. Issues such as management continuity, taxes and contingent liabilities must be considered and balanced to determine the appropriate price, method of payment and terms of sale. We are familiar with a full range of options which can satisfy the legitimate, but sometimes conflicting needs of both sides.

Negotiation - Negotiating strategy is determined in advance of discussions. We strive to maintain momentum even in face of complex issues which could significantly slow negotiations. CoView often acts as a buffer, softening the differences which almost always arise in the heat of negotiations, and is often able to bridge what initially appear to be significant difficulties.

Financing - CoView, when requested, can arrange financing for the purchase of a company.
